Engagements for custom software development, generative AI integration, mobile and web development, blockchain development, and testing automation services are governed by a separate written agreement (typically a Statement of Work or Master Services Agreement) entered into between CodePrism and the Client. In the event of a conflict between these Terms and a signed engagement agreement, the engagement agreement shall prevail.

Access to and use of CodePrism's proprietary software products is subject to a separate software licence or subscription agreement. These Terms apply to your use of the marketing and informational pages for those products. Actual use of the products is governed by the relevant product agreement.

We do not guarantee uninterrupted, timely, or error-free access to the website or Services. We may suspend or restrict access to some or all of the website or Services for maintenance, upgrades, or security purposes, and we will aim to give reasonable notice where possible.

Intellectual property ownership of deliverables produced under a client engagement is governed by the applicable Statement of Work or Master Services Agreement. Unless otherwise agreed in writing, CodePrism retains all intellectual property rights in its pre-existing tools, frameworks, libraries, and methodologies, and grants Clients a licence to use deliverables for their intended purpose. Bespoke code developed solely for a Client and fully paid for may be assigned to the Client as specified in the engagement agreement.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODEPRISM, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICES, EVEN IF CODEPRISM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ALL CASES, CODEPRISM'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CODEPRISM IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) INR 10,000.

The limitations above shall not apply to the extent prohibited by applicable law. Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you.

You agree to indemnify, defend, and hold harmless CodePrism Technologies Pvt Ltd and its officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to:

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

You irrevocably agree that the courts of Hyderabad, Telangana, India shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.

Before filing any formal legal action, both parties agree to attempt to resolve any dispute arising under these Terms informally. You agree to first contact us at sales@codeprism.in and allow us 30 days to attempt to resolve the matter before initiating any legal proceedings.

If the dispute cannot be resolved informally, the parties agree to attempt resolution through mediation before resorting to litigation. Mediation shall take place in Hyderabad, Telangana, India, and the costs shall be shared equally unless the mediator determines otherwise.

We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason — including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

If you wish to terminate your account, you may simply discontinue using the Services, or contact us at sales@codeprism.in to request account deletion.

We reserve the right to update or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice before any new terms take effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Services.
